The Securities and Exchange Board of India (Sebi) issued a comprehensive penalty of Rs 28.95 crore against Suzlon Energy and its leaders, citing accounting violations and incorrect financial disclosures. Key figures fined include Vinod Tanti and Girish Tanti, along with former chief financial officers Kirti Vagadia and Amit Agarwal.
The regulator's detailed 96-page order asserted that Suzlon's financial statements were deceptive, notably in how they depicted profitability and net worth. This judgment follows Sebi's decision to overturn an earlier exoneration by an adjudicating officer, highlighting fraudulent intra-group transaction claims.
Sebi identified that from FY15 to FY20, including early FY21, Suzlon conducted several dubious transactions that obscured the true financial condition of the company. The irregularities were initially flagged by an anonymous complaint in December 2019, leading to a thorough examination and investigation.
The primary concern involved Suzlon's Operations and Maintenance Services transaction chain, manipulated from FY14 onwards. Circular payments made it appear as if financial debts were liquidated when they were not, substantially inflating the company's apparent net worth.
